TERMS AND CONDITIONS
1. Acceptance
• 1.1 These Terms and Conditions govern the provision of creative and coaching services by Magnify MNL (the "Company") to the Client.
• 1.2 By engaging the Company’s services or executing a registration form, the Client acknowledges and agrees to be bound by these Terms.
2. Services
• 2.1 Magnify MNL agrees to provide services as outlined in the service particulars attached to these Terms or agreed upon in writing.
• 2.2 The Scope of Service may be modified only upon mutual written agreement between both parties.
• 2.3 Magnify MNL reserves the right to refuse or discontinue service to any project or client that does not align with its core values, safety standards, or technical expertise.
3. Client Responsibilities & Scheduling
• 3.1 Information & Approvals: The Client shall provide all necessary information, materials, and approvals promptly to ensure successful service delivery.
• 3.2 Rescheduling & Cancellations: Clients may reschedule a session by providing advance written notice by 9 PM Philippine Standard Time (PST) a day before the session. Cancellations or postponements made after 9 PM PST a day before the session will result in full forfeiture of the session. Exceptions may be made for documented medical emergencies at the Company's sole discretion.
• 3.3 Punctuality: A grace period of 20 minutes will be granted for unforeseen delays. If the Client arrives within this window, the session will proceed but will still conclude at the originally scheduled end time without extension. If the Client fails to join within this window without prior notice, the session will be considered forfeited.
• 3.4 Package Expiration: Solo session packages carry an expiration period equal to four (4) weeks plus the total number of sessions purchased (12, 20, and 28 weeks for 8, 16, and 24-session packages, respectively), starting from the date of purchase. Unused sessions past the expiration date are forfeited.
• 3.5 Package Freeze: Clients planning an absence of four (4) consecutive weeks or longer must submit a written request in advance to freeze their package. Approved freezes pause the package expiration deadline for the duration of the absence. A package may be frozen once per contract term for a maximum duration of sixty (60) calendar days.
4. Payment Terms
• 4.1 Payment Schedule: Full payment must be made within seven (7) days of receipt of the registration form. Session bookings will not be confirmed until payment is received in full.
• 4.2 Verification: Proof of payment must be sent to Magnify MNL immediately following the transaction. An official confirmation or invoice will be issued via email upon receipt of funds.
• 4.3 Delinquent Accounts: Services will be postponed or terminated until the account balance is cleared. During periods of non-payment, Magnify MNL reserves the right to reassign the Client’s recurring time slots to other parties.
• 4.4 Refund Policy: Payments are strictly non-refundable once schedule and payment have been confirmed.
5. Intellectual Property
• 5.1 Ownership: Magnify MNL retains all copyright and intellectual property rights in all original creative works, proprietary coaching methods, concepts, and raw audio/video files. Upon full payment, the Client is granted a non-exclusive license to use final deliverables for personal or specified commercial use.
• 5.2 Promotional Use: Magnify MNL reserves the right to use photos, audio, and video recordings captured during sessions for promotional, portfolio, and social media purposes, unless the Client explicitly opts out in writing prior to the commencement of services.
• 5.3 Restrictions: Clients may not reproduce, resell, or distribute the Company’s proprietary course materials or raw media assets without prior written consent.
6. Confidentiality
• 6.1 Both parties agree to hold confidential all sensitive information disclosed during the project, including business strategies, proprietary methodology, and private personal discussions.
• 6.2 This confidentiality obligation remains in effect indefinitely following the termination of this agreement.
7. Limitation of Liability & Studio Rules
• 7.1 Property Damage: The Client assumes full financial responsibility for any loss, damage, or destruction caused to the studio’s property, equipment, or facilities resulting from the actions or negligence of the Client or their guests.
• 7.2 Personal Injury: The Client agrees that Magnify MNL is not liable for personal injuries sustained on studio premises unless directly caused by the gross negligence or intentional misconduct of the Company.
• 7.3 Indemnification: The Client shall indemnify and hold Magnify MNL harmless against all claims, liabilities, and legal fees arising from breaches of this agreement or damages caused by the Client or their associates.
8. Termination
• 8.1 Either party may terminate this agreement upon 30 days' written notice in the event of a material breach of terms or insolvency of the other party.
• 8.2 Upon termination, the Client remains liable for payment for all services rendered and reasonable costs incurred by Magnify MNL up to the effective date of termination.
9. Governing Law & Venue
• 9.1 The laws of the Republic of the Philippines shall govern these Terms.
• 9.2 Any disputes arising from this agreement shall first be addressed through good-faith negotiations. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the proper courts of Quezon City, Metro Manila, to the exclusion of all other courts.
10. General Provisions
• 10.1 Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• 10.2 Force Majeure: Neither party shall be liable for delays or failures resulting from causes beyond their reasonable control, including natural disasters, acts of government, or public health emergencies.
• 10.3 Independent Contractor: Magnify MNL operates as an independent contractor. Nothing in this agreement creates an employer-employee, partnership, or joint venture relationship.
